("SECUSYSTS," "we," "us," or "our"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, you must not access or use our services.

Specific services, deliverables, service levels, and obligations may be governed by separate agreements, statements of work (SOWs), or service contracts, which shall take precedence in case of conflict.

    3. No Guarantee of Absolute Security

You acknowledge and agree that no cybersecurity solution, system, or service can guarantee absolute protection against all cyber threats, attacks, breaches, or incidents.

SECUSYSTS does not warrant or guarantee that:

    • Threats will never occur
    • Systems will never be compromised
    • Attacks will always be detected or prevented
    • Data loss, downtime, or disruptions will not occur

Our services are designed to reduce risk, enhance resilience, and improve security posture, not to eliminate risk entirely.

    4. Client Responsibilities

    You agree to:

    • Provide accurate, complete, and lawful information
    • Maintain the confidentiality of login credentials and access keys
    • Restrict access to authorized personnel only
    • Implement recommended security controls where applicable
    • Comply with all applicable laws, regulations, and industry standards

You are solely responsible for your internal security policies, configurations, access controls, and compliance obligations unless expressly stated otherwise in a written agreement.

    5. Account Access and Use

If you create an account, dashboard, or client portal access with SECUSYSTS:

    • You are responsible for all activities under your account
    • You must notify us immediately of any unauthorized access or suspected breach
    • We reserve the right to suspend or terminate access for security, legal, or policy reasons

SECUSYSTS may monitor platform usage for security, performance, and compliance purposes.

    6. Intellectual Property Rights

All content, software, methodologies, frameworks, tools, documentation, dashboards, logos, trademarks, trade names, and materials provided by SECUSYSTS are the exclusive intellectual property of SECUSYSTS or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to use such materials solely for their intended purpose.

    You may not:

    • Copy, reverse engineer, modify, or distribute our materials
    • Use our brand, name, or logos without written consent
    • Resell or sublicense our services unless authorized

    7. Confidentiality

Both parties agree to maintain the confidentiality of any non-public, proprietary, or sensitive information disclosed during the course of the engagement, including but not limited to security findings, architectures, reports, credentials, and business data.

Confidentiality obligations survive termination of services.

    8. Compliance and Lawful Use

You agree not to use SECUSYSTS services for:

    • Illegal activities
    • Unauthorized access or exploitation
    • Violations of data protection or privacy laws
    • Activities that could harm SECUSYSTS, its partners, or third parties

We reserve the right to suspend services where unlawful or unethical use is suspected.

    9. Third-Party Services and Platforms

SECUSYSTS may integrate or rely on third-party platforms, tools, or services. We are not responsible for the availability, security, or actions of third-party providers.

Your use of such services may be subject to separate third-party terms.

    10. Limitation of Liability

To the maximum extent permitted by law:

    • SECUSYSTS shall not be liable for indirect, incidental, consequential, special, or punitive damages
    • SECUSYSTS shall not be liable for loss of data, revenue, profits, business interruption, or reputational harm
    • Our total aggregate liability shall not exceed the fees paid to SECUSYSTS for the specific service giving rise to the claim

This limitation applies regardless of theory of liability.

    11. Indemnification

You agree to indemnify, defend, and hold harmless SECUSYSTS, its officers, employees, partners, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:

    • Your misuse of services
    • Violation of these Terms
    • Breach of law or third-party rights

    12. Suspension and Termination

SECUSYSTS may suspend or terminate services immediately if:

    • These Terms are violated
    • Security risks are identified
    • Legal or regulatory obligations require action

Termination does not relieve you of outstanding payment or confidentiality obligations.

    13. Modifications to Terms

We may update these Terms from time to time. Updated versions will be posted on our website with a revised effective date. Continued use of services constitutes acceptance of the updated Terms.

    14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SECUSYSTS TECHNOLOGIES Inc. is incorporated, without regard to conflict of law principles.
